Terms and Conditions

The terms for buying from SA Business Distribution.

Effective date: 30 September 2026

1. About us and these terms

1.1 This website, www.sbdistribution.co.za (the “Website”), is operated by FJ Valentine Trading (Pty) Ltd, registration number 2021/942635/07, trading as SA Business Distribution (“we”, “us”, “our”). Our full contact details are on our Contact page.

1.2 These Terms and Conditions apply to every use of the Website and every purchase you make through it. Our Returns and Refunds Policy, Shipping and Delivery Policy and Privacy Policy form part of these terms.

1.3 By creating an account or placing an order you confirm that you have read and accept these terms. If you do not accept them, please do not use the Website.

1.4 Nothing in these terms limits any right you have under the Consumer Protection Act 68 of 2008 (“CPA”), the Electronic Communications and Transactions Act 25 of 2002 (“ECTA”) or the Protection of Personal Information Act 4 of 2013 (“POPIA”). If any term conflicts with those laws, the law wins.

2. Who can buy

2.1 You must be 18 or older, or have the consent of a parent or guardian, to buy from us.

2.2 We deliver within South Africa only.

2.3 If you buy on behalf of a company or other business, you confirm that you are authorised to bind it. See clause 12 for how these terms apply to business customers.

3. Your account

3.1 You can check out with an account, including by signing in with Google. You must give accurate details and keep them up to date.

3.2 You are responsible for keeping your login details safe. Tell us immediately at sales@sbdistribution.co.za if you think someone else has used your account.

3.3 We may suspend or close an account that is used fraudulently, abusively or in breach of these terms.

4. Products and information

4.1 We sell computer, networking and technology products sourced from authorised South African distributors.

4.2 Product descriptions and specifications come from manufacturers and distributors. Images are for illustration and packaging may differ. If a detail matters to you, such as compatibility with your existing equipment, ask us before you order.

4.3 Products shown on the Website are subject to availability from our distributors. Showing a product does not guarantee it is in stock.

5. Prices

5.1 All prices are in South African Rand (ZAR).

5.2 SA Business Distribution is not registered for VAT. The price shown at checkout is the full price you pay for the product. No VAT is added and we cannot issue VAT tax invoices.

5.3 Delivery fees are shown separately at checkout before you pay. See our Shipping and Delivery Policy.

5.4 Prices can change without notice, but a change will not affect an order we have already confirmed.

5.5 As allowed by section 23 of the CPA, we are not bound by a price that is an obvious and unintentional error (for example, a laptop listed at R1.00). If this happens we will tell you, and you may either pay the correct price or cancel for a full refund.

6. Placing an order

6.1 Before you pay, the checkout lets you review your order, correct any mistakes and cancel if you change your mind.

6.2 Your order is an offer to buy. A binding agreement is formed only when we email you an order confirmation after your card or Payflex payment succeeds or your EFT payment has cleared in our account.

6.3 We order stock from our distributor only after your payment is received. If a product becomes unavailable after you have paid, we will tell you promptly. You may accept a suitable alternative we offer, or we will refund you in full within 30 days, usually much sooner.

6.4 We may decline or cancel an order before dispatch if we suspect fraud, cannot verify payment, or the product cannot be supplied. If we cancel, we refund you in full.

6.5 We email you when your payment is received (for EFT, when the funds have cleared), when your order is placed with our supplier, and when it is shipped. You can view your order history at any time in your account.

7. Payment

7.1 We accept card payments, processed securely by Yoco, Payflex instalments, and EFT (electronic funds transfer). The payment methods available for your order are shown at checkout. We do not accept cash or payment on collection.

7.1A EFT payments: pay into the bank account shown at checkout and in your order email, using your order number as the payment reference.

7.1B We hold an unpaid EFT order for 48 hours. If payment has not reflected in our account by then, we may cancel the order. Please email your proof of payment to sales@sbdistribution.co.za to help us match it.

7.1C We place your order with our distributor only once the funds have cleared in our account. A proof of payment alone is not treated as payment. Payments between different banks can take 1 to 3 business days to clear, so EFT orders may take longer to ship than card or Payflex orders.

7.1D We will never change our bank details by email or phone. If you receive a message asking you to pay into a different account, do not pay and contact us on 065 110 9824. We are not responsible for payments made into an account other than the one shown at checkout and in your order email.

7.2 Card payments may require 3-D Secure verification by your bank.

7.3 We never see or store your full card details. Yoco processes them on a PCI DSS compliant platform.

7.3A Payflex: if you choose Payflex at checkout, you pay in four interest-free instalments over six weeks. Payflex is a separate credit provider. It decides whether to approve you, and your instalment agreement is with Payflex on its own terms. We treat your order as paid once Payflex confirms the payment to us. If you return a product or we cancel an order, we refund through Payflex, which adjusts or refunds your instalments. These terms, including your cooling-off and Consumer Protection Act rights, still apply to your purchase from us.

7.4 If you have a problem with a payment, please contact us before disputing it with your bank so we can resolve it quickly.

8. Delivery, ownership and risk

8.1 Delivery times, fees and procedures are set out in our Shipping and Delivery Policy.

8.2 Ownership of a product passes to you when we have received full payment.

8.3 The risk of loss or damage passes to you when the product is delivered to you or to a person who accepts delivery at your delivery address.

8.4 Please inspect your parcel on delivery and tell us within 2 business days about any visible damage, missing items or wrong products. This helps us claim from the courier and does not reduce your rights under the CPA.

9. Cancelling and returning products

9.1 You may cancel an online purchase within 7 days of delivery without giving a reason, as allowed by section 44 of ECTA.

9.2 Returns, refunds and exceptions are set out in our Returns and Refunds Policy.

10. Warranties

10.1 Under section 56 of the CPA, every product carries an implied warranty of quality for 6 months from delivery. If a product is defective in this period, you may choose a repair, a replacement or a refund, as set out in our Returns and Refunds Policy.

10.2 Most products also carry a manufacturer’s warranty, usually 12 months or longer. We will help you claim under it through our distributor.

10.3 Warranties do not cover damage caused by misuse, accidents, liquid, power surges or lightning, load-shedding related power damage, unauthorised repairs, or normal wear and tear.

10.4 Back up your data before returning any device. We are not responsible for data, software or settings lost during a repair, replacement or return.

11. Limits on our liability

Please read this clause carefully. It limits our responsibility to you, and section 49 of the CPA requires us to bring it to your attention.

11.1 To the extent the law allows, we are not liable for any indirect or consequential loss arising from your use of a product or the Website. This includes lost profits, lost income, lost data and business interruption.

11.2 To the extent the law allows, our total liability for any claim about an order is limited to the price you paid for the product concerned.

11.3 These limits do not apply to loss caused by our gross negligence or intentional wrongdoing, and they do not reduce any right you have under the CPA or ECTA that cannot legally be excluded.

11.4 We are not liable for delays or failures caused by events outside our reasonable control, such as supplier or courier failures, strikes, extended load-shedding, natural disasters or government action. If this happens we will keep you informed and refund you if we cannot deliver.

12. Business customers

12.1 Parts of the CPA do not apply to juristic persons (such as companies) whose asset value or annual turnover is at or above the threshold set under the CPA, currently R2 million.

12.2 If you buy as such a business, clauses 9 and 10.1 apply only as our Returns and Refunds Policy states for business customers, and the manufacturer’s warranty is your main warranty.

12.3 Clause 11 applies to business customers in full.

13. Using the Website

13.1 You may use the Website only for lawful purposes. You may not attempt to hack, overload, scrape or disrupt it, or use automated tools to place orders.

13.2 All content on the Website, including text, design and logos, belongs to us or our licensors. Product names and trademarks belong to their owners.

13.3 We aim to keep the Website available and accurate, but we cannot guarantee it will always be error-free or uninterrupted.

14. Privacy

14.1 We handle your personal information in line with POPIA and our Privacy Policy.

15. Complaints and disputes

15.1 If you are unhappy, please contact us first at sales@sbdistribution.co.za with your order number. We will acknowledge your complaint within 2 business days and try to resolve it within 10 business days.

15.2 If we cannot resolve it, you may refer the matter to the Consumer Goods and Services Ombud (www.cgso.org.za), the National Consumer Commission (www.thencc.gov.za), or a court with jurisdiction.

15.3 These terms are governed by the laws of the Republic of South Africa. You consent to the jurisdiction of the Magistrates’ Court for any dispute, even if the amount would otherwise exceed its jurisdiction.

16. Notices

16.1 We may send you notices by email to the address in your account or order. Under ECTA, an email counts as written notice.

16.2 Our address for legal notices (domicilium citandi et executandi) is 12 Vorster Avenue, Wetton, Cape Town, 7780, and our email for notices is sales@sbdistribution.co.za.

17. General

17.1 We may update these terms from time to time. The version on the Website when you place an order applies to that order.

17.2 If any clause is found invalid, the rest of these terms remain in force.

17.3 If we do not enforce a right immediately, we do not give it up.
